These terms apply to the use of this website and to the provision of consulting services by Ayutthaya Partners Co., Ltd. If you have a signed engagement letter with us, that document takes precedence where it differs from these general terms. These terms are written in plain language and are intended to be read, not merely acknowledged.

2. Use of This Website
This website is provided for informational purposes — to describe our firm, our services, and how to reach us. You may use it for these purposes and may share links to it freely.

3. Nature of Our Services
Ayutthaya Partners provides advisory and consultancy services in the field of sustainability. Our work draws on professional judgment, familiarity with relevant frameworks, and knowledge of Thai and regional practice. It is not legal advice, financial advice, or assurance in the technical sense of that term.
Our written outputs — memoranda, implementation plans, session notes — represent observations and recommendations made in good faith on the basis of the information available at the time. They are intended to support your internal deliberations, not to replace them. Decisions about whether and how to act on our work remain yours.
4. Engagement Terms
A consulting engagement begins when both parties have agreed in writing on scope, fees, and timeline — typically through an engagement letter or proposal confirmation. These general terms form part of that agreement unless specific written terms say otherwise.
Our fees are stated inclusive of Thai VAT unless noted. Payment terms are specified in the engagement letter; our standard terms are 50% on engagement confirmation and 50% on delivery of the primary output, unless an alternative schedule is agreed. Payments are non-refundable except where we have not delivered the agreed work and no reasonable remedy is available.
Either party may withdraw from an engagement by giving reasonable written notice. Where we have carried out work prior to withdrawal, fees proportionate to that work may apply.
5. Client Responsibilities
Our work depends on reasonable cooperation from your side. This includes:
- Making relevant information, data, and personnel available in a timely way
- Reviewing and responding to interim drafts and working questions within agreed timeframes
- Informing us promptly of any changes — in strategy, ownership, or regulatory status — that materially affect the scope of the engagement
Where delays or gaps in client cooperation affect our ability to deliver on time, we will notify you and may need to adjust timelines accordingly. We will not take on responsibility for outcomes that depend on information we were not given.
6. Confidentiality
We treat client information with care. Information you share with us in the course of an engagement is used only to carry out that work. We do not discuss client matters with other clients or use client materials in publications or presentations without your consent.
We may refer to your company as a client — by name, sector, and general nature of work — for the purpose of describing our experience, unless you ask us not to.
We ask that you treat our written outputs, methodologies, and working documents as confidential. They are provided for your internal use and are not intended for onward distribution to third parties without our agreement.
7. Liability
We carry professional indemnity insurance at a level appropriate to our practice. Our aggregate liability to any client in respect of any engagement is limited to the fees paid for that engagement, except in cases of fraud or wilful misconduct.
We are not liable for indirect, consequential, or speculative losses — including lost revenue, reputational impact, or the cost of decisions made on the basis of our work that do not produce the outcomes you anticipated.
Nothing in these terms excludes liability that cannot lawfully be excluded under Thai law.
8. Third-Party Frameworks and Standards
Our work often involves reference to third-party frameworks — such as GRI, TCFD, or the UN SDGs. These frameworks are owned by their respective organisations. Our use of them does not imply endorsement by those organisations or formal certification under any standard. Where certification or assurance is required, additional engagement with an accredited body would be necessary.
9. Website Accuracy and Availability
We endeavour to keep information on this website accurate and current. We cannot guarantee that it is free from error at all times, and service descriptions, fees, or staff details may change without notice on the site itself. Confirmed engagement terms always take precedence over website content.
We do not warrant uninterrupted or error-free access to the site. Periods of maintenance, technical issues, or circumstances beyond our control may affect availability.

This site may include links to external resources — for example, framework documentation, regulatory guidance, or professional bodies. These links are provided for convenience. We do not endorse or take responsibility for the content of external sites, and linking does not indicate any affiliation beyond what is stated.
11. Governing Law and Disputes
These terms and any engagement governed by them are subject to the laws of Thailand. If a dispute arises that cannot be resolved through direct discussion, we would prefer to resolve it through mediation before initiating formal proceedings. Courts of Thailand have jurisdiction over any legal dispute arising from these terms or from our services.
12. Changes to These Terms
We may update these terms from time to time. Material changes will be noted with an updated date at the top of this page. Terms in effect at the time of an engagement remain applicable to that engagement unless both parties agree otherwise in writing.
